Statement of Additional Information (SAI) — supplementary disclosure
The Scheme Information Document gives you scheme-specific details. The SAI gives you AMC-level context.
The Scheme Information Document (SID) covers scheme-level details. The Statement of Additional Information (SAI) supplements it with AMC-level context — corporate structure, board details, financial statements, regulatory history, dispute records. SEBI requires both documents; most investors read only the SID. The SAI is useful for deeper due diligence when choosing among AMCs.
What the SAI contains
Standard sections:
- Corporate structure of the AMC and sponsor.
- Constitution and governance structure.
- Board of directors and senior management.
- Trustee company details.
- Fund management team biographies.
- Investment process and policies.
- Operational infrastructure.
- Custodian and fund accountant arrangements.
- Auditor details.
- Financial statements (latest).
- Regulatory compliance history.
- Litigation and disputes.
- Material developments.
When the SAI is useful
- Evaluating a new AMC you're considering.
- Understanding the AMC's institutional quality.
- Researching any recent disputes or regulatory issues.
- Verifying the sponsor's financial strength.

How SAI complements SID
SID answers: "Is this scheme right for me?"
SAI answers: "Is this AMC trustworthy and capable?"
Both questions matter; both documents help answer.
Where to find SAI
- AMC website (usually under "Forms & Downloads" or "Disclosures").
- SEBI website.
- CAMS / KFintech portals (some have copies).
SAI updates
SAI is updated:
- Annually for financial information.
- When material developments occur.
- Following regulatory changes.
For first-time investors in a new AMC
If you're investing in a new AMC, glancing at the SAI helps assess:
- Institutional credibility.
- Service quality you can expect.
- Any concerning history.
For established AMC relationships
If you've been investing with an AMC for years, the SAI doesn't usually reveal new information. The annual review of SID is more relevant.
Reading time
The SAI is typically 50-100+ pages. Full reading takes 2-3 hours. Focused scanning of key sections takes 20-30 minutes.
SAI vs SID priorities
If forced to choose, read SID first — it directly affects your investment in that scheme. Read SAI when:
- Considering an unfamiliar AMC.
- Investigating AMC-level concerns.
- Doing comprehensive due diligence.
Common findings worth investigating
- Frequent senior management changes.
- Recent regulatory penalties.
- Significant operational issues.
- Disputes affecting fund operations.
These warrant deeper investigation, possibly switching to a different AMC.
The institutional question
Beyond specific scheme performance, the AMC's institutional quality matters:
- Strong governance protects against fraud.
- Stable management retains experienced staff.
- Operational quality affects customer service.
- Regulatory compliance reduces investor risk.
The SAI's quiet value
Few investors read SAIs cover-to-cover. But the document exists for good reasons — it provides institutional context the SID can't. Periodically referencing it for AMCs you're considering helps avoid investing in poorly-managed shops.
